Introduction

Welcome to Vertex Hub!

By using our website and/or using the services that are provided, you acknowledge that you have read, understood, and agree to be bound by our Terms of Use( “Terms”, “Terms and Conditions”, “Terms of Service”. These Terms and Conditions unconditionally extend and apply to all internet service, or website extensions. If you are not in agreement with all of these Terms, you are prohibited from using this Website, and you may discontinue use immediately. Vertex Hub recommends that you save or print a copy of these Terms and Conditions for future reference.

Definitions

The following definitions apply to these Terms and Conditions, Privacy Statement, Disclaimer Notice and all Agreements: “User”, “Visitor,” “Client,” “Customer,” “You” and “Your” refers to you, the person(s) that use this Website. “ Vertex Hub  “, “VertexHub Platform”, ””We”, “Our” and “Us”, refers to our Website/Company. “Party,” “Parties,” or “Us,” refers to both you and us. All terms refer to all considerations of Vertex Hub  necessary to undertake support to you for the express purpose of meeting your User needs in respect of our services, under and subject to, prevailing law of the country in which Vertex Hub  operates. Any use of these definitions or other glossary in the singular, plural, capitalization, and/or pronoun are interchangeable but refer to the same.

Approved Contractor: any legal entity referred to the Customer by Vertex Hub or identified by the Customer via Vertex Hub Platform.

Confidential information: any written, oral, machine-readable or graphic information disclosed or provided by the Party under this Agreement, whether business or personal, which would reasonably be considered to be private or proprietary to that Party and that is not generally known. Confidential Information shall not include any information that the receiving Party can demonstrate:

(a)  is or becomes a matter of public knowledge through no fault of the receiving Party;

(b)  was or becomes available to the receiving Party on a non-confidential basis from a third party, provided that such third party is not known or reasonably suspected by the receiving Party to be bound by an obligation of confidentiality to the disclosing Party with respect to such c) Confidential Information;

(c)   was independently developed by the receiving Party without reference to the disclosing Party’s Confidential Information; or

(d) the disclosing Party agrees in advance in writing does not constitute Confidential Information.

Force Majeure Event: any circumstance or cause beyond a Party’s reasonable control and not caused by such Party, its employee, subcontractor, consultant, agent or representative, including, without limitation, strikes, lockouts, riots, insurrections, civil disturbances, sabotage, embargoes, blockades, acts of war, acts or failures to act of any governmental or regulatory body (whether civil or military, domestic or foreign), governmental regulations superimposed after the fact, communication line failures, power failures, fires, explosions, floods, accidents, epidemics, earthquakes or other natural or man-made disasters, and all occurrences similar to the foregoing.

Personnel: any subcontractor, employee, consultant or representative of the Party.

Project: a particular project or set of ongoing tasks for which the Customer has requested Services to be provided by the Approved Contractor and the Approved Contractor has agreed to provide such Services to the Customer.

Services: any task, activity or service consisting of software development, design, project management, testing, and diagnostics or other professional services the Approved Contractor provides.

 

Any words following the terms including, include, in particular, for example, or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase, or term preceding those terms.

 

Agreement to Terms of Use

Subject to the conditions set forth herein, Vertex Hub, at its sole discretion, may amend or modify this Agreement any other Terms & Conditions at any time by posting a revised version on the Site. Notwithstanding the foregoing, you understand that by using Vertex Hub Platform after the date stated at the beginning of each document, you agree to be bound by the updated Terms & Conditions.

YOU UNDERSTAND THAT BY CLICKING “I AGREE”, YOU ACCEPT THE TERMS AND CONDITIONS SET OUT HEREIN, ENTER INTO THE AGREEMENT WITH VERTEX HUB WITH THE EFFECT FROM THIS DATE AND AGREE TO BE BOUND BY THIS AGREEMENT, EVEN THOUGH IT IS ELECTRONIC AND IS NOT PHYSICALLY SIGNED BY YOU AND VERTEX HUB. IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS IN ITS ENTIRETY, YOU MUST NOT ACCESS OR USE VERTEX HUB PLATFORM. IF YOU AGREE TO THE TERMS AND CONDITIONS ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THE TERMS AND CONDITIONS AND AGREE THAT YOU ARE BINDING BOTH YOU AND THAT ENTITY TO THE TERMS AND CONDITIONS. IN THAT EVENT, “YOU”, THE “CUSTOMER” AND “YOUR” WILL REFER AND APPLY TO YOU AND THAT ENTITY.

Vertex Hub Terms and Conditions (these “Terms” or these “Terms and Conditions”) contained in this Agreement shall govern your use of this Website and all its content (collectively referred to herein as this “Website”). These Terms outline the rules and regulations guiding the use of Vertex Hub  located at https://vertexhub.online/. All materials/information/documents/services or all other entities (collectively referred to as content) that appear on the Vertex Hub  shall be administered subject to these Terms and Conditions. These Terms and Conditions apply in full force and effect to your use of this Website, and the use of this Website constitutes an express agreement with all the Terms and Conditions contained herein in full. Do not continue to use this Website if you have any objection to any of the Terms and Conditions stated on this page.

Services

Vertex Hub is a curated marketplace where independent contractors who provide software development, design, project management, testing, and diagnostics or other professional services (the “Approved Contractor” and the services they provide, the “Services”) can find the Customers seeking such Services and vice versa, as well as buy and sell the Services.

 

Vertex Hub provides the following services:

hosting and maintaining the Vertex Hub Platform through which the Approved Contractors may be notified of Customers that may be seeking the Services they offer, and Customers may be notified of the Approved Contractors that may offer the Services they are seeking;

pre-vetting of the Approved Contractors and talents whose profiles are available on the Vertex Hub Platform; and shortlisting the Approved Contractors that offer the Services the Customers are seeking and facilitating the formation of the respective Service Contracts (as defined below).

When the Customer enters a Service Contract, the Customer uses the Site to pay any amounts owed under the Service Contract and applicable Vertex Hub Service Fee (as defined below).

The content of this Website is not intended for use or distribution to any person or entity in any jurisdiction, geographical location, or country/state where such use or distribution will be contrary to the laws and regulations or subject   to any form of registration, claims, demands, costs, liabilities, damages, or expenses.

The Website is intended for users who are at least 18 years of age. If you are under the age of 18, you cannot use or register to use this Website or its services. By agreeing to these Terms and Conditions, you have the necessary legal capacity to comply and be bound by these  Terms&Conditions.

Provision of Services and Payment Arrangements

Vertex Hub takes reasonable care in pre-vetting and referring the Approved Contractor to the Customer; however, it is the Customer’s responsibility to decide whether to engage the Approved Contractor for the provision of Services.

The Customer shall make a prepayment in full for the Services to be provided.

 

We charge a service fee to the Customers for the use of our services (“Vertex Hub Service Fee”). Vertex Hub Service Fee will be charged on each invoice issued under the Service Contract at the rate clearly displayed on the Site or the applicable invoice. Unless otherwise stated on the applicable invoice, Vertex Hub Service Fee is quoted in US dollars.

Notwithstanding the foregoing, Vertex Hub Service Fee will not be charged in relation to (a) the existing Service Contracts the Customer entered into prior to the effective date of the fee change; (b) the new Service Contracts the Customer enters into with the Approved Contractor at any time within 12 months after the date of the last invoice issued to the Customer via the Vertex Hub Platform.

Vertex Hub reserves the right to change Vertex Hub Service Fee at any time and will not provide the Customer notice of any fee changes before they become effective.

We reserve the exclusive right to determine the cost of services and change such cost of services at our sole discretion. By agreeing to the Terms&Conditions you consent to monitor the updated prices on our website.

 

 

Approved Contractor for the provision of the Services

Should the Customer decide to engage the Approved Contractor for the provision of the Services, a contract, regardless of the form and media (hereunder referred to as the “Service Contract”) will be formed directly between such Customer and the respective Approved Contractor. The terms and conditions of this Agreement, however, will govern and supersede any term or condition in the Service Contract that purports to expand Vertex Hub’s obligations or restrict Vertex Hub’s rights under this Agreement.

 

Liability

Although Vertex Hub may facilitate the formation of the Service Contract between the Customer and the Approved Contractor, Vertex Hub shall not have the powers to conclude any agreements or make any covenants to the Customer on behalf of the Approved Contractor. The Customer hereby disclaims any right it may have to bring a claim against Vertex Hub in relation to any loss or damage that results from any dealings between the Customer and any Approved Contractor.

 

Objection Period/ Return of Funds

 

Advance payment made by the Customer for the Services to be provided in every upcoming period shall be transferred to the Approved Contractor without undue delay if within 14 business days (“Objection Period”) after the end of such period the Customer neither requests to submit payment nor communicates in writing their objections regarding the Services provided.

For the avoidance of doubt, payment made by the Customer to the account designated by Vertex Hub shall satisfy the Customer’s obligation with respect to the payment to the Approved Contractor.

If within the Objection Period the Customer raises a written objection regarding the quality of the Services provided or if the services were not provided or the result of the services significantly diverges from the terms of the order to which the Parties came , the Customer shall have the right to receive a refund for the amount paid in the invoicing period without invoking the dispute resolution procedure, provided the Approved Contractor accepts the refund request. The Customer might be offered to receive modification of services instead of receiving a refund. It is understood that the result of the service was confirmed when the service was actually provided, that is, from the moment the result was sent to the client’s account or to the registered email address. The Customer has the right additionally to  confirm receiving of the services in his account which automatically means the services were received in full, on time and in accordance with all the conditions to which the Parties agreed. If the Approved Contractor disputes the refund request, the issue shall be transferred to Vertex Hub dispute specialist(s), thus invoking the dispute resolution procedure.

We encourage you to discuss and seek ways to resolve the disagreement with the Approved Contractor directly, however, if you are unable to do so, our specialists will conduct an independent assessment of facts and written documents (including by means of electronic communication) pertaining to the case in question and present the parties to the Service Contract with a written resolution. Vertex Hub shall transfer the applicable portion of the payment to the Approved Contractor within 14 business days after a resolution is presented.

Any action that encourages or solicits payment directly to the Approved Contractor or through any channels other than those provided or specified by Vertex Hub is a violation of this Agreement. The Customer shall immediately notify Vertex Hub if the Approved Contractor requests that the Customer make any such payment as described in this clause. In the event the Approved Contractor breaches the terms of the Service Contract, upon the Customer’s request Vertex Hub will provide replacement candidates having similar qualifications and experience, provided all undisputed invoices are paid in full by the Customer.

 

Acceptable Use

You may use this Website only for lawful and legitimate purposes in accordance with these Terms and Conditions. When using this Website, you agree to adhere to the following guidelines:

  1. Compliance with Laws: You must comply with all applicable laws and regulations, both local and international, while using this Website. You shall not engage in any activity that violates any laws or infringes upon the rights of others;
  2. Respect for Others: You must respect the rights, privacy, and dignity of other users of this Website. Do not engage in any activity that is harassing, abusive, defamatory, threatening, or harmful to others;
  3. No Unauthorized Access: You shall not attempt to gain unauthorized access to any part of this Website, its systems, or any connected network or database. Unauthorized access, hacking, or any other form of cyber-attack is strictly prohibited;

You warrant and represent that:

Confidentiality

 

Vertex Hub undertakes not to disclose, divulge, reveal, report or use, for any purpose, any Confidential Information of the Customer which Vertex Hub has obtained, except as authorized by the Customer or for the purposes of notifying the Approved Contractors of the Customers that are seeking the Services they offer.

Vertex Hub may subsequently share the Customer’s Confidential Information with its Personnel and the Approved Contractor for the purposes consistent with the terms and conditions set out in this Agreement.

The Customer undertakes not to disclose, divulge, reveal, report or use, for any purpose, any Confidential Information of Vertex Hub which the Customer has obtained, except as authorized by Vertex Hub.

 

Non-solicitation and Non-circumvention

 

The Customer agrees that during the effective period of this Agreement and for a period of one (1) year after its termination (or after canceling the Customer’s account), the Customer will not solicit, seek or offer any employment or business cooperation to employees or subcontractors, who were at the time of the effective period of this Agreement, employed by or working or providing Services for the Approved Contractor or were involved in any form or capacity in the performance of the Service Contract.

The Customer agrees that during the effective period of this Agreement and for a period of one (1) year after (a) its termination (or after canceling the Customer’s account); or (b) the date of the last invoice issued to the Customer via the Vertex Hub Platform, whichever is later, the Customer will not provide or accept services, solicit or seek business in any form or capacity, in each case whether directly or indirectly, from any Approved Contractor, to whom the Customer was introduced or referred to in connection with this Agreement without Vertex Hub’s prior written consent.

Privacy Policy

By using this Website and its services, you may provide us with certain personal information. By using Vertex Hub or its services, you authorize us to use your information in any country or state that we operate in. We reserve the right to use such information to improve your user experience and facilitate mailing and traffic, and market analytics.

By accessing this Website, specific information about the User will be stored on Vertex Hub  servers. Information about their identities, such as name, address, contact details, billing information, and other information stored on this Website, will strictly be used only for statistical purposes and will not be published for general access.  Vertex Hub however, assumes no responsibility for the security of this information.

Disclaimers/Warranties/Limitation of Liabilities

By accepting the Terms&Conditions you confirm that you as the Customer are a legal entity or an individual who is at least 18 years old and capable of forming legally binding agreements under applicable law;

all information associated with the Customer’s account is real, accurate, and verifiable;

the Customer is not a citizen or resident of, or located in, a country or region that is subject to the U.S. or other sovereign country sanctions or embargoes; or an individual or an individual employed by or associated with an entity identified on the U.S. Department of Commerce’s Denied Persons or Entity List, the U.S. Department of Treasury’s Specially Designated Nationals or Blocked Person Lists, or the Department of State’s Debarred Parties List or otherwise ineligible to receive items subject to CDN or U.S. export control laws and regulations, or other economic sanction rules of any sovereign nation.

The Customer agrees to provide the Approved Contractor with access to any information, materials, and Personnel, that the Approved Contractor may deem necessary for the purpose of providing the Services.

The Customer warrants that it has obtained all necessary permissions and consents of any individual data subjects to process and provide to Vertex Hub their personally identifiable information in connection with this Agreement.

The Parties agree and acknowledge that the Approved Contractor is not a subcontractor or employee of Vertex Hub. Vertex Hub accepts no liability for the quality of the Services provided by the Approved Contractor and/or any breach of contract or law (including intellectual property infringement) by, or on behalf of, the Approved Contractor.

Vertex Hub PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND Vertex Hub EXPRESSLY DISCLAIMS ALL OTHER REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY REPRESENTATIONS OR WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. IN NO EVENT WILL Vertex Hub, OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF REVENUE OR ANTICIPATED SAVINGS, LOSS OF DATA OR THE LIKE), WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION, THE CUSTOMER’S USE OR INABILITY TO USE THE Vertex Hub PLATFORM OR ANY INTERRUPTION OF SUCH USE, EVEN IF THE CUSTOMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CAN NOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

General Provisions

Language

All correspondence made under this Agreement shall be in English.

Governing Law & Jurisdiction

The Terms and Conditions of this Website will be governed by and construed under the laws of England and Wales. You hereby unconditionally submit to the non-exclusive jurisdiction of the courts located in United Kingdom for the resolution of any disputes.

Severability

Suppose any of Terms or Condition is proven to be unenforceable or void under any applicable law. In that case, such shall not render the entirety of these Terms and Conditions unenforceable or invalid. As a result, any such provision shall be deleted without affecting the remaining provisions herein. The provisions of these Terms and Conditions that are unlawful, void, or unenforceable are deemed severable from these Terms and Conditions and do not affect any remaining provisions’ validity and enforceability.

Variation of Terms

Vertex Hub reserves the right to revise these Terms at any time as it sees fit. By using Vertex Hub you are expected to review such Terms regularly to ensure you comprehend all the Terms and Conditions regarding the use of this Website.

Assignment

Vertex Hub reserves the right to assign, transfer, and subcontract its rights and/or obligations under this Agreement without any prior notification or consent required. Users shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms. Furthermore, a person who is not a party to these Terms and Conditions shall have no right to enforce any provision contained therein.

Entire Agreement

These Terms and Conditions, including any legal notices and disclaimers on this Website, constitute the entire Agreement between Vertex Hub and you concerning your use of this Website. Ultimately, this Agreement supersedes all prior agreements and understandings concerning the same.

Term and Termination

The term of this Agreement (the “Term”) will begin on the date of acceptance of this Agreement and will remain in full force and effect until terminated. The provisions of these Terms and Conditions shall remain in full force and effect while you use the Vertex Hub or its services. Users may terminate their use by following the instructions for terminating user accounts in your account settings or by contacting us at:
info@vertexhub.online provided that any such termination shall not affect the validity of any Service Contracts that have been executed prior to termination and this Agreement shall continue to apply with respect to such Service Contracts

We reserve the right and sole discretion to, and without notice or liability, deny access to and use of the Website (including blocking specific IP addresses) to any user for any reason including but not limited to breach of any representation, warranty, or Agreement in these Terms or any applicable law or regulation.

We also reserve the right, if, in our sole discretion, we determine that your use of the Website or its services is in breach of these Terms and Conditions or of any applicable law or regulation, to terminate your use of the Website and its services or delete your account and any or all of your content, without warning or prior notice. Suppose we terminate or suspend your account for any reason set out under this section. In that case, you are prohibited from registering and creating a new account under your name, or a false identity. In addition to terminating or suspending your account Vertex Hub reserves the right to take appropriate legal action(s), including without limitation pursuing civil, criminal, and injunctive redress.
